Last week, I spent a total of six days in Chicago; some for a conference and some with my family for the holiday weekend. I felt like I was being chased by the ghost of Van Gorkom! After teaching the case in some fashion five times in the last four semesters, I may have been more sensitive to the fact that almost everything in Chicago is named "Pritzker"! The co-star of the corporations case, Jay Pritzker, was but one member of the billionaire Pritzker family. Jay was no slouch, though; he founded the Hyatt hotel chain and was an aggressive corporate raider.
At Northwestern, the law library is named the Pritzker Legal Research Center. The University of Chicago's medical school is the Pritzker School of Medicine. A pavilion at Milennium Park has the Jay Pritzker name, as does a wing at the Children's Museum. Someone should design a Smith v. Van Gorkom walking tour!
Since hanging around in Illinois, I have heard a lot of interesting backstory to this case. I've heard that a Business "Law Stories" is in the works. I hope it includes this interesting case.
